Terms & Conditions

The rules of the road for using NudgeMap — accounts, billing, acceptable use, and what you can expect from us.

01.Agreement

These Terms & Conditions ("Terms") form a binding agreement between you and NudgeMap, Inc. ("NudgeMap", "we", "us") governing your access to and use of the NudgeMap software, website, and related services (the "Service"). By creating an account or using the Service, you accept these Terms. If you use the Service on behalf of a company, you represent that you are authorized to bind that company.

02.Accounts

You are responsible for:

  • Keeping your password confidential and all activity under your account.
  • Providing accurate business information and keeping it current.
  • Promptly notifying us of any unauthorized use. We may suspend accounts that violate these Terms or that we reasonably believe are compromised.

You must be at least 18 years old to create an account.

03.Subscriptions, trials, and billing

  • Free trial: new accounts get a 7-day trial with full access to Growth Pro features. No charges occur during the trial unless you upgrade early.
  • Plans: paid plans renew automatically each month (or year, if you chose annual billing) until cancelled. Prices are shown at checkout in USD or INR (via Dodo Payments, our merchant of record) based on your detected region; your currency is locked to your business once selected.
  • Cancellation: you can upgrade, downgrade, or cancel anytime from your dashboard. Cancellation stops future charges; access continues to the end of the paid period. We do not offer pro-rated refunds for partial periods except where required by law.
  • Failed payments: overdue accounts may be suspended after reminder emails. Reactivating may require paying the outstanding balance.

04.Acceptable use

You agree NOT to:

  • Offer incentives, payments, or discounts in exchange for reviews in a way that violates Google's review policies or any platform's terms.
  • Use the Service to harass customers, send unauthorized messages, or contact anyone who has opted out.
  • Generate fraudulent scans, ratings, or reviews — manually or automated.
  • Reverse engineer the Service, scrape it, resell access, or probe its security without written permission.
  • Upload unlawful content or content that infringes others' rights, or use the Service in violation of applicable laws (including spam/messaging consent laws such as TCPA and India's DPDP Act messaging rules).

We may suspend or terminate accounts that violate these rules. You are responsible for obtaining any consents required before messaging your customers through NudgeMap.

05.Customer data and your responsibilities

You retain ownership of the business data and customer feedback you collect through the Service. You are the controller of your customers' personal data; NudgeMap processes it as your processor to deliver the Service. You are responsible for:

  • Providing any notices and obtaining any consents required for us to process your customers' data (including phone numbers used for WhatsApp nudges).
  • Honoring customer requests related to their data where required.
  • The accuracy and legality of the content you send through the Service.

06.AI features

The Service includes AI-assisted features (summaries, sentiment analysis, and suggested replies) powered by third-party models such as Google Gemini. AI output may be inaccurate; you are responsible for reviewing anything before it is sent or published. AI suggestions are never auto-posted to public review platforms without a human approving them, and we do not use your data to train foundation models.

07.Service availability

We aim for high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue parts of the Service (with notice where practical). Unscheduled downtime, third-party outages (Google, WhatsApp, payment providers), and force majeure events may affect delivery. If we make a material adverse change to a paid feature, we will give you reasonable notice.

08.Termination

You may cancel at any time from your dashboard. We may suspend or terminate your account for material breach of these Terms (with notice where practical), for non-payment, or where required by law. Upon termination by you, your data is handled per the retention rules in our Privacy Policy (export available for 90 days on request).

09.Disclaimers and limitation of liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability and fitness for a particular purpose. We do not warrant that the Service will increase your ratings or business outcomes.

To the maximum extent permitted by law, NudgeMap's total aggregate liability arising out of or relating to the Service is limited to the amounts you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data, even if advised of the possibility.

10.Indemnification

You agree to indemnify and hold harmless NudgeMap from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms or applicable law, including claims from your customers relating to messages you sent or consents you did not obtain.

11.Changes to these Terms

We may update these Terms. For material changes we will notify business owners by email or in-product notice at least 14 days before they take effect. Continuing to use the Service after the effective date constitutes acceptance. If you disagree with the new Terms, you may cancel before they take effect.

12.Governing law and contact

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles; the courts of Delaware have exclusive jurisdiction, except where mandatory local consumer law grants you a different forum. Questions? Use our contact page.
